Shopy 101 — User Agreement

Welcome to Shopy 101. Please read the following agreements carefully before creating your account. By tapping "I have read and accept" at the bottom, you agree to all of the terms below.

1. Terms of Service

1.1. Parties

This Terms of Service ("Agreement") is a legally binding contract between SHOPY 101 LTD (Company Number: 16388100, registered in England and Wales) ("Shopy 101" or the "Platform") and any person or entity that creates an account, accesses content, or carries out transactions on the www.shopy101.com website or the Shopy 101 mobile applications (the "User" or "You").

By registering on the Platform, you confirm that you have read and understood this Agreement, and you agree to be bound by it.

1.2. Definitions

Platform: the web interface at www.shopy101.com and all official Shopy 101 mobile applications.

Seller: a User who lists, displays, and sells digital goods they created themselves, or for which they hold legal resale rights, using the Platform.

Buyer: a User who purchases the digital goods listed on the Platform for personal or commercial use.

Digital Product: any intangible asset delivered electronically and instantly, including but not limited to e-books, PDF templates, UI kits, source code, graphic design files, digital art, and online courses.

1.3. Intermediary Status

Shopy 101 acts strictly as an intermediary service provider (a marketplace infrastructure provider). Shopy 101 is not the owner, creator, producer, or retailer of the digital products uploaded by Sellers. The Platform only provides the technical venue that brings Buyers and Sellers together. All payments on the Platform are processed by a licensed third-party payment provider (Stripe Connect).

1.4. Account, Security, and Age

You must provide accurate, complete, and up-to-date information when creating an account. You declare that you are at least 18 years old, or that you have reached the age of majority in your country. You are solely responsible for keeping your account credentials confidential. Creating multiple accounts for deceptive, malicious, or abusive purposes is prohibited.

1.5. Intellectual Property

The interface design, source code, logos, graphics, software architecture, and the name "shopy 101" belong exclusively to SHOPY 101 LTD. The brand "shopy 101" is under legal protection (Trademark Application Number 2026/075598, dated June 13, 2026, filed under classes 35 and 42 with the Turkish Patent and Trademark Office). The intellectual property rights of digital products uploaded by Sellers remain with those Sellers.

1.6. Content Moderation

Shopy 101 prohibits listings that contain copyright infringement, illegal items, malware, or that violate third-party rights. Rights holders who find an infringing product may submit a takedown notice to help@shopy101.com. After review, Shopy 101 may immediately remove the item and may suspend or terminate the responsible User's account.

1.7. Limitation of Liability

The Platform is provided on an "as-is" and "as-available" basis, without warranties regarding product performance, error-free files, or merchantability. To the maximum extent permitted by law, Shopy 101 is not liable for data loss, transaction issues, or indirect losses arising from disputes between Buyers and Sellers.

1.8. Governing Law

This Agreement is governed by the laws of England and Wales. The courts of London, United Kingdom, have exclusive jurisdiction over any disputes arising from it.

2. Privacy Policy

SHOPY 101 LTD treats the privacy of its users as a top priority. This policy follows the Turkish Data Protection Law (KVKK No. 6698) and the EU/UK General Data Protection Regulation (GDPR).

2.1. Data Controller

The data controller is SHOPY 101 LTD, registered in the United Kingdom. For privacy questions, data deletion requests, or other inquiries, contact help@shopy101.com.

2.2. Data We Collect

Identity and contact: first name, last name, email address, and username.

Storefront data (Sellers): store name, description, and profile picture.

Transaction records: purchase history, sales metrics, and commission breakdowns.

Payment data: sensitive card or bank details are never processed or stored on Shopy 101 servers. Payments are handled directly through Stripe over encrypted channels.

Technical data: IP address, device identifiers, browser type, and general app activity.

2.3. Why We Process Data

We process your data to perform our contract (managing your account and delivering downloads), for legitimate interests (preventing fraud and keeping the service running), and to comply with legal obligations (accounting and tax rules).

2.4. Data Sharing

We do not sell or rent your personal data to advertisers. We share data only with trusted processors: with Stripe, Inc. for identity verification and payouts; with secure cloud hosting providers (e.g., Google Cloud) to run the service; and with law enforcement when required by a valid legal request.

2.5. Your Rights

You have the right to access your data, correct it, restrict its processing, export it, or request full deletion ("right to be forgotten"). You can delete your account using the "Delete My Account" option in your profile, or by contacting help@shopy101.com.

3. Seller Agreement

This Seller Agreement governs the commercial terms between independent creators who list digital goods on Shopy 101 and SHOPY 101 LTD. By setting up a seller profile, you agree to the terms below.

3.1. Onboarding and Stripe Connect

Sellers must provide verified identity information to pass platform checks. Because the Platform uses an automated, real-time fee split, Sellers must connect a working Stripe Connect account. Accounts that do not complete Stripe onboarding and KYC steps cannot sell items.

3.2. Commission and Fees

For every completed sale, Shopy 101 retains a 20% platform commission. The remaining 80% goes to the Seller's Stripe Connect balance. The Seller accepts that all payment gateway fees, currency exchange (FX) costs, and payout transfer fees charged by Stripe are deducted from the Seller's 80% share. Shopy 101 is not responsible for these processing fees.

3.3. Copyright Warranty

The Seller warrants that they hold 100% of the copyrights, source code rights, resale permissions, and trademark rights for every file they upload. If an uploaded file leads to a copyright claim, all damages and legal costs are borne solely by the Seller. Shopy 101 may remove infringing files, freeze related funds, and terminate the seller profile.

3.4. Taxes

Sellers are solely responsible for calculating, filing, and paying their own income taxes, VAT, or any cross-border digital service taxes. Shopy 101 does not act as a withholding tax agent.

4. Distance Sales Agreement

This Distance Sales Agreement is formed electronically between the Buyer and the independent Seller at checkout. Shopy 101 is not a party to this sale and acts only as an intermediary.

4.1. Subject

This contract covers the online purchase of a digital file listed by the Seller, payment processed via Stripe in USD, and instant electronic delivery of the file to the Buyer.

4.2. Delivery

Product details, file sizes, and prices are shown on each product page. Digital goods are not shipped physically. As soon as Stripe confirms payment, the item is added to the Buyer's library or a download link is made available. Delivery is completed instantly.

4.3. Waiver of the Right of Withdrawal

Under consumer protection rules for digital goods, the standard 14-day cooling-off period does not apply to intangible goods delivered instantly. By completing payment, the Buyer expressly consents to immediate delivery and waives the 14-day right of withdrawal.

5. Cookie Policy

5.1. What Cookies Are

Cookies are small text files saved on your device when you use www.shopy101.com or our applications.

5.2. Cookies We Use

Essential cookies: required to keep your session secure, process your cart, and handle Stripe transactions safely.

Analytics cookies: used to understand general traffic anonymously, helping us fix bugs and improve speed.

Preference cookies: remember your display, layout, and language choices.

5.3. Managing Cookies

You can block or remove cookies in your browser settings. However, rejecting essential cookies may cause checkout failures and prevent downloads from working correctly.

6. Cancellation and Refund Policy

6.1. Digital Sales Are Final

Because the products on Shopy 101 are digital files that can be instantly copied, saved, or used upon delivery, all purchases are final and non-refundable. The standard 14-day return period does not apply.

6.2. Exceptional Refund Cases

To prevent abuse, Shopy 101 support (help@shopy101.com) will review refund requests within 14 days of purchase only in these verified cases:

Corrupted file: the file uploaded by the Seller is broken or throws fatal errors, and the Seller fails to upload a working fix within 72 hours of being notified.

Material misrepresentation: the file is substantially different from what the product page described.

Double charge: a system error causes Stripe to charge the Buyer twice for the same order.

Approved refunds are returned to the original payment method through Stripe.
